You and SynthLab Research agree that any dispute, claim, or controversy arising out of or relating to these Terms, our products, or our services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, unless both parties agree otherwise.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and SynthLab Research individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to contact@synthlabresearch.com within 30 days of your first purchase, clearly stating your intent to opt out of arbitration.

15. Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SynthLab Research EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE TRANSACTIONS CONTEMPLATED HEREBY.

16. Force Majeure

SynthLab Research shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, quarantine restrictions, strikes, supply chain disruptions, carrier delays, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. Export Control

Our products may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer our products to any prohibited country, entity, or person under U.S. export laws. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and Research Disclaimer, constitute the entire agreement between you and SynthLab Research regarding the use of our website and services. These Terms supersede any prior agreements, communications, or understandings, whether oral or written, between you and SynthLab Research. No oral statements or prior written materials not specifically incorporated herein shall be of any force or effect.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20. No Waiver

The failure of SynthLab Research to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by SynthLab Research.
